The website you sign documents on — not the service agreement itself

These terms govern your use of the online service portal operated by Breeze Marine Boat Service LLC (the "Company", "we", "us"). They govern the portal. They do not govern the marine service work itself — that is governed by the service agreement you sign, and where the two differ about the work, the service agreement governs.

1. What this portal is for

The portal exists so that you can read, acknowledge and sign documents relating to marine service work on your vessel, receive copies of those documents, and see what you have been invoiced. It is provided to you at no charge, as a convenience.

2. Your signing link

Each document is reached by a private link sent to you. That link is the key to your document. Please do not forward it to anyone you do not intend to be able to sign on your behalf. If you believe someone else has your link, tell us and we will cancel it and issue a new one.

Links expire. If yours has expired, ask us and we will send another.

3. Signing electronically

Signatures made through this portal are intended to have the same legal effect as handwritten signatures, under the federal ESIGN Act (15 U.S.C. § 7001) and the California Uniform Electronic Transactions Act (Civ. Code § 1633.1 et seq.). Before you sign we ask for your consent to transact electronically, and we give you the disclosures the ESIGN Act requires. Those are set out in full in our Electronic Records Disclosure.

To help establish that a signature was made by you and not by someone else, the portal may ask you to enter a passcode we send to the address on your record, may ask permission to take a photograph, and records technical details of the device used. What is collected, and why, is described in our Privacy Notice. Every part of that is optional; declining does not prevent you signing.

5. Accuracy of what you tell us

You agree that the information you give us — your name, your email address, your telephone number, and your relationship to the vessel — is accurate, and you agree to tell us if it changes. We rely on it to reach you, and to send documents you are entitled to receive.

6. Availability

We do our best to keep the portal available, and we cannot promise it always will be. It may be unavailable for maintenance, or because of a failure outside our control. If it is unavailable when you need it, contact us and we will complete the same steps on paper.

To be plain about this. The portal is provided "as is". We make no warranty about its availability or about it being free of interruption. Nothing in this paragraph limits our obligations to you under the service agreement for the actual work on your vessel, and nothing in it limits any liability that cannot lawfully be limited.

7. Our documents and materials

The text, layout and materials of the portal belong to the Company. The documents generated for you — your agreement, your authorizations, your invoices — are yours, and you may keep, print and share them freely.

8. Changes

We may update these terms. The date at the top shows when they last changed. A document you have already signed is governed by the terms in force when you signed it, not by any later version.

9. Governing law

These terms are governed by the law of the State of California. Any dispute about the portal itself is to be brought in the state or federal courts located in the county in which the Company maintains its principal place of business, California.

These terms contain no arbitration clause and no waiver of your right to a jury trial. That is deliberate.
